The rules and conditions that govern your use of Kinetiq AI Cull.
By downloading, installing, accessing, or using Kinetiq AI Cull ("the Software", "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms constitute a legally binding agreement between you ("User", "you", "your") and LEAMAR CO., LTD ("Company", "we", "us", "our"), operating Kinetiq AI under the domain kinetiq.asia.

You are solely responsible for maintaining the confidentiality of your password and for all activity under your account. Notify us immediately at info@kinetiq.asia if you suspect unauthorized use.

All purchases are processed by an authorized third-party payment processor (the "Payment Processor"), who acts as the Merchant of Record for all transactions. Your contractual relationship for payment purposes is with the Payment Processor. By completing a purchase, you also agree to the Payment Processor's terms of service and privacy policy, which will be disclosed at checkout. The Payment Processor is responsible for invoicing, tax remittance, and billing-related customer support.
Subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current rate. By subscribing, you expressly authorize the Payment Processor to charge your payment method on a recurring basis until you cancel. You will receive a reminder email before any annual renewal. You must cancel at least 24 hours before your renewal date to avoid being charged for the next period.
We will provide at least 30 days' written notice before any price change. Continued use after the effective date constitutes acceptance of the new pricing. The Payment Processor collects and remits all applicable sales taxes, VAT, GST, and similar taxes as required by the laws of your jurisdiction. The price shown at checkout includes all such taxes.
The Kinetiq Lite free tier is available at no charge with no credit card required, subject to usage limits (10,000 photos per month, 1 device). We reserve the right to modify, limit, or discontinue the free tier at any time with reasonable advance notice.
You may cancel your subscription at any time through:
Upon cancellation, your subscription remains active through the end of the current paid billing period. No partial-period refunds are automatically issued unless specified in our Refund Policy.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Software on the number of devices specified by your subscription plan, solely for your own personal or professional photography workflow.

All content, features, functionality, AI models, algorithms, branding, logos, and user interface elements of the Service are the exclusive property of LEAMAR CO., LTD and are protected by copyright, trademark, patent, and other applicable intellectual property laws.
Your Content: Your photos, raw files, and any content you process through the Service remain your exclusive property. We claim no ownership rights over your content. You grant us only the limited license necessary to operate the Service (e.g., temporary processing of image data for culling analysis).
You agree to defend, indemnify, and hold harmless LEAMAR CO., LTD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any third-party rights, including intellectual property rights; or (c) your violation of any applicable law or regulation.
Your use of the Service is governed by our Privacy Policy, incorporated herein by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
You agree not to use the Service to:
The Service integrates with third-party applications (e.g., Adobe Lightroom, Capture One, Photo Mechanic). Your use of those services is governed by their respective terms. We are not responsible for the availability, content, or practices of any third-party service.
The service is provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. We do not warrant that AI culling results will meet your specific requirements or that the service will be error-free.
To the maximum extent permitted by applicable law, in no event shall LEAMAR CO., LTD be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or business opportunity, even if advised of the possibility of such damages. Our total cumulative liability shall not exceed the greater of (a) the total fees you paid us in the three (3) months immediately preceding the claim, or (b) USD $50.
These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of Hanoi, Vietnam.
If you are a consumer located in the European Union, you may also have the right to submit a dispute to your local courts under applicable consumer protection laws.
We may suspend or terminate your account and access to the Service at any time, with or without cause, with notice where reasonably practicable. You may terminate your account at any time by cancelling your subscription and contacting us at info@kinetiq.asia to request account deletion.
Upon termination: (a) all licenses granted to you immediately end; (b) you must cease using the Software; (c) any outstanding payment obligations remain enforceable.
The following sections survive termination of these Terms: Section 8 (Intellectual Property), Section 9 (Indemnification), Section 13 (Disclaimers), Section 14 (Limitation of Liability), Section 15 (Governing Law), and Section 18 (General).
Entire Agreement
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and LEAMAR CO., LTD regarding the Service.
Severability
If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
Changes to Terms
We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service constitutes acceptance of the revised Terms.
